1. Acceptance of Terms
By accessing or using any services provided by WK ("Company", "we", "us"), you agree to be bound by these Terms & Conditions. If you do not agree, you may not use our services. These terms apply to all clients, visitors, and users of our website and services.
2. Services
WK provides custom software development, digital marketing, branding & UI/UX design, and government services integration. The specific scope, deliverables, timelines, and fees for each project will be defined in a separate project agreement or statement of work (SOW) signed by both parties.
3. Project Agreements
Each project will be governed by a written agreement detailing the scope, milestones, payment schedule, and acceptance criteria. Any changes to the scope must be agreed upon in writing and may result in adjustments to timelines and costs.
4. Payment Terms
Payment terms will be specified in the project agreement. Unless otherwise stated, invoices are due within 15 business days of issuance. Late payments may incur a fee of 1.5% per month on outstanding balances. We reserve the right to suspend work on any project with overdue payments.
5. Intellectual Property
Upon full payment, the client receives ownership of all custom deliverables created specifically for their project. WK retains ownership of pre-existing tools, frameworks, and code libraries used in development. We reserve the right to showcase completed projects in our portfolio unless a non-disclosure agreement is in place.
6. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of a project. This includes business strategies, technical specifications, user data, and trade secrets. This obligation survives the termination of any project agreement.
7. Warranties & Liability
WK warrants that services will be performed in a professional manner consistent with industry standards. Our total liability for any claim arising from our services shall not exceed the amount paid by the client for the specific project in question. We are not liable for indirect, incidental, or consequential damages.
8. Termination
Either party may terminate a project agreement with 30 days' written notice. Upon termination, the client is responsible for payment of all work completed to date. WK will deliver all completed deliverables upon receipt of outstanding payments.
9. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes shall be resolved through amicable negotiation first, and if unresolved, through the competent courts of Saudi Arabia.
10. Changes to Terms
WK reserves the right to update these terms at any time. Significant changes will be communicated via our website or email. Continued use of our services after such updates constitutes acceptance of the revised terms.
